Assistant General Counsel Legal

SUMMARY: - The position entails review, analysis and counseling on a variety of corporate legal matters, working closely with NJ TRANSIT staff and management to move forward positive initiatives.
ROLES & RESPONSIBILITIES :
- Provide important and timely legal advice related to operational needs and efficiencies.
- Review and analyze procurements: Requests for Proposals (RFPs), Invitations for Bids (IFBs), Requests for Qualifications (RFQs) and Requests for Expressions of Interest (REFIs), for competitively bid contracts to provide goods and services.
- Review, analyze and counsel on Contracts, MOUs, Agreements with private counterparties and other local, State and federal agencies, related to rail, bus and general corporate matters.
- General Litigationdraft, file, prosecute, answer and defend legal matters in local, State and federal courts.
- Administrative LawRepresent NJ TRANSIT in administrative actions, related to civil rights, work environments, EEOC, affirmative action and other matters.
- Support bus and rail operations in daily activities and business needs including labor hearings and arbitration.
- Board Mattersinterpret NJ TRANSIT's By-laws when required, understand and counsel on the Open Public Meetings Act, provide legal advice to the Board Office on monthly Board and Committee meetings.
- Capital Programs & PlanningDevelop strategies, negotiate, draft and edit agreements with third parties for complex transactions required to implement large capital projects.Provide liaison with the Capital Programs group, subject matter experts, contracts, etc.
- Employmentf ocuses on legal issues that arise from the employer/employee relationship. Employment attorneys interpret and provide advice on many different kinds of employment laws, including wage and hour laws, workplace safety, rest break laws, disability leave laws, workplace harassment, employee discrimination, and wrongful discharge. Some Employment attorneys litigate cases in court and others provide assistance to companies crafting company policies and employee handbooks.
- Real Estate - Draft and negotiate new leases and interpret existing leases including multi-tenant retail leases, triple-net leases on buildings, and long-term ground leases.Draft and negotiate permits and licenses for the use of NJ TRANSIT's properties, including permits for film shoots and special events and licenses for use of NJ TRANSIT.
- Periodically review and revise NJ TRANSIT's template Real Estate documents, including its basic commercial lease form and basic telecommunications license forms.
- Counsel on Open Public Records Act (OPRA), review OPRA requests and answers.
- Review and counsel on a variety of financial legal matters, including contracts, claims and risk management.
- Provide review and counsel on media and advertising legal matters and agreements.
- Review and respond to subpoenascriminal and civil.
- Understand and counsel on a variety of law enforcement matters involving NJ TRANSIT Police Department.
- Understand and counsel on government and community affairs.
- Understand and counsel on Information Technology contracts and agreements.
EDUCATION, EXPERIENCE & QUALIFICATIONS :
- Juris Doctor (JD) and 3+ years' experience in corporate law.
- New Jersey Law License required.
KNOWLEDGE & SKILLS: - A blend of general corporate law, in-house and large law firm and/or public sector preferred.
- First class inter-personal, research, writing and communication skills, excellent judgment and analytical skills, high degree of professional ethics, integrity and executive presence.
- Experience in the transportation/transit industry preferred.
- Experience in in the operation of government and private industry preferred.
- Experience operating in highly regulated industry preferred.
